The Thai rights we offer are not mere promises or flimsy contracts; TIN and our partners have created legal rights that are enforceable under Thai Corporate Law by the Security Agent and Labuan Law by the Trustee; all parties accept the backstop of professional dispute resolution and THAC Arbitration which mitigates court disputes and allows transactions to follow the agreed contractual terms. This is achieved by two independent parties, the Security Agent (Licensed Lawyers) and the Trustee (LFSA Regulated); each manages the process independent of the courts and instead rely on Arbitration in Thailand.

Why Traditional Structures are Failing

For those seeking property interests in Thailand, traditional models that relied on breaches of Thai Law are no longer acceptable (if they ever were). Thailand's commitment to complying with International Anti-Money-Laundering regulations means that illegal Thai companies must go! This, coupled with the increasing exposure and the failure of illegal lease renewal mechanisms, means foreign investors must seek a new integrated approach that is fully compliant with Thai Law; Better-than-Freehold is that approach.

The Obsolescence of Nominee Corporate Structures

Investors in these structures are now trapped due to DBD regulations requiring their Thai shareholders to sign non-nominee declarations. The only way out is to sell land holdings to a genuine Thai buyer and take limited-term 30-year use rights. TIN offers a better way; a secure home with Institutional Investor Protection and long terms use rights well beyond the 30 year limit based on contracted commercial rent reviews. Foreigners can sell in, lease, and buy options to sell and/or have a new lease and option. This structure enables a perpetual Use cycle that is commercial and complies with Thai Law.

The Structural Fragility of Standard Leases

A standard 30-year lease cannot be automatically renewed; however, a separate contract that enables a commercial sale of the property or a new commercial lease on pre-agreed revised market-linked rates is legal and enforceable in law under CCC 151 Freedom to Contract. The problem for any counterparty, Thai or foreign, is that a breach may only lead to compensation. Under TIN's arrangements, comprehensive security secures the asset, our Thai partner and Security Agent can transact independently of the TIN ordinary shareholder board, thus breaches are eliminated. This structure ensures that the asset will always transact provided the lessee is not in breach of their agreement. Ensuring that transactions follow contracts with no court involvement is a major step, together with comprehensive asset protection it enables institutional lenders to utilise the platform for clients seeking debt investment alongside their capital investment.

The Institutional Alternative

A Structured Leasehold Framework, not a Contractual Promise

Traditional Leasehold Arrangements are often supported by nothing more than a legally unenforceable promise of a future lease or a "Trust Me" Contract. Better-than-Freehold™ is an institutional-grade lease and option framework, fully aligned with Thai law and built upon registered property rights rather than corporate workarounds. As a 100% Thai-owned entity, TIN holds legal title at the Land Office and grants a registered lease, separate option, and comprehensive security. These rights are managed under independent, regulated fiduciary oversight and are secured against the asset itself.

The option avoids the flaws inherent in virtually every other arrangement in the market; other solutions inevitably breach Substance-over-Form and suffer under the imposition of Public Interest CCC 150. TIN's contracts do not seek to force a new lease but instead contract for a commercial new offer which is exactly what courts want to see; this fully aligns with public interest. This structure means that the substance and form of the contract are legal Thai Law is respected and therefore enforceable.

Other routes such as Building Ownership or Lease Mortgages aim to force a new lease on the lessor which is precisely what Thai Courts strike down because they avoids the fundamental requirement of a real commercial premium review.

Owner & Lessor

Thailand Investor Network (TIN)

A 100% Thai-owned property investment and management company. TIN holds legal title at the Land Office and grants the registered lease with an option backed by a registered 1st charge mortgage.

Trustee & Lessee

SPH Trustees

A Labuan FSA authorised and regulated Trust Company holding contracts and asset-backed security on behalf of investors and TIN. SPH acts as the primary Lessee on behalf of the ultimate investor who owns the lease and option rights under Labuan Common Law.

Security & Enforcement

Clear Blue Security Agents

A legal-led Thai security agency holding comprehensive enforcement and operational step-in rights. All disputes are governed by the Thailand Arbitration Centre (THAC), ensuring private, institutional resolution independent of the traditional court system.

Instruments

  • 30-Year Registered Lease

    Registered at the Land Office under the Thai Land Code, this interest provides statutory protection of the lessee's basic use rights. However, a lease contract cannot survive changes in a property's freehold ownership; hence TIN and SPH ensure counterparty continuity by fixing themselves in place with a mortgage and preferential share control rights owned by CBSA. Because the property is ring-fenced with a 1st charge mortgage, it forces the registered lessee and lessor to remain continuous and secure across the entire term.

  • Option Agreement Supported by a 1st Charge Mortgage

    Options are personal unsecured contracts that SPH secures with a 1st charge mortgage created by debt obligations. This creates a right in REM which is attached to the land, and an enforceable financial obligation. The Option provides investment rights through its sale call and future lease rights that oblige TIN to make a new offer and register a new lease on acceptance.

  • BSA Security

    The Business Security Act enables SPH to take a charge over cash, moveable assets, and future receivables. SPH holds rights to register secured charges on property, and where these are not fully taken up, it registers BSA security in its stead. This dual approach is stronger and enables SPH/CBSA to leverage their protection and asset ring-fencing for the benefit of all parties.

  • Share Pledge

    A 100% pledge over the shares in TIN's property-holding entities, CBSA shares, and CBSA-owned preference shares held in favour of the SPH Trustees. This provides a critical corporate-level remedy, ensuring that companies cannot be sold or encumbered during SPH's investment period, and ultimately enables SPH to call a Public Auction and to sell and/or credit bid back shares. SPH's ultimate goal is to secure its Thai counterparties and, where necessary, to reconstitute them such that its long-term Use and Investment rights are protected.

From acquisition to year 30, and beyond

Year 0 — Onboarding & Implementation

The Better-than-Freehold Structure Pre-Exists

You identify the target property; TIN reviews it for suitability. If they accept, due diligence follows, both parties agree to proceed, and TIN acquires the legal freehold title and registers the pre-agreed commercial lease and option package. The BtF security structure is Turn-Key and Plug-and-Play. Once a lease and mortgage are registered and the option lodged on the land file, all of the additional security is bestowed by the SPH Trust. This is what makes BtF efficient, simple, and affordable.

Years 1–30+++ — Operational Stewardship

Full use and benefit

The investor maintains exclusive possession and beneficial interest rights in the asset and can engage in commercial development under the terms of the lease and option agreements (with SPH oversight to ensure licensing and other regulatory compliance). Over a development's lifetime, with BtF Use rights selling for more, finance oiling the wheels, and optimised tax mitigation, we can achieve increases of 50% on ROCE.

Generational Continuity

Seamless Succession

Upon a succession event, beneficial interests are reassigned to designated heirs. Because the institutional Lessee remains unchanged, the process ensures continuity while avoiding the complexities of Thai probate and Land Office re-registration.

Year 30 — The New Offer

Three Defined Pathways

At the conclusion of the initial term, a new lease and option offer is made on clearly defined and pre-agreed commercial terms, or a return of the option deposit if no sale. In this way, the Investor can roll over into successive new lease and option terms, Thai law is respected, the offer is new, distinct, and commercial, contracts are enforceable in law but executed by the Security Agent independent of TIN's majority ordinary shareholders whose board agreed to the original deal. TIN's financial objectives are long-term index-linked leasing plus capital gains. The option payments, any gains on sales, and the revision of lease terms above CPI create a commercially attractive business for TIN and its shareholders where income always trumps capital.

Institutional Enforcement & Resolution

In the event of a default or security trigger, the independent security agent activates pre-defined, registered remedies and operational step-in rights. All disputes are governed by CBSA and its experts first, then the Thailand Arbitration Centre (THAC). This provides a private, institutional resolution independent of the traditional court system.
